JUNIOR COMPANY SECRETARY (Competitive market-related remuneration package) The KwaZulu-Natal Gaming and Betting Board seeks to appoint a Junior Company Secretary to assist the Company Secretary to: Ensure good governance of the organisation through compliance of the Board with applicable laws regulations best practice and code of ethics The prevention of conﬂicts of interest Efﬁcient Board and Committee meetings The protection of conﬁdential information held by the Board. Requirements: An appropriate and recognized 3-year Law degree with a minimum 3 years legal work experience in working with corporate governance structures. Key Responsibilities: Facilitate Board and Committee member performance by assisting the Company Secretary to provide input to aid the Board and Committee functioning Report on Board and Committee performance Assist with preparation of workshops for training of Board members in order to maintain and improve the effectiveness of the entire Board Co-ordinate and manage the arrangement of delegated Committee or Board meetings effectively and efﬁciently by liaising with Board management committees and external stakeholders Assist with providing Board members with relevant and accurate documentation preparation of agendas and informing managers of their responsibilities for Board and Committee meetings Ensure conﬁdential and efﬁcient management of Board information Assist in driving good governance throughout the organisation by keeping abreast of new legislation regulations and case law Provide input to the Company Secretary for the development of policies and procedures for the effective corporate governance Assist the Company Secretary in ad hoc divisional management requirements including the supervision of executive assistants as delegated. Knowledge skills and competencies: Knowledge of King III Code of Good Practice; the KZN Gaming and Betting Act 2010 (advantageous) the new Companies Act; Board requirements and administration; budget formulation and management; People management (advantageous) Advanced written and oral communication skills; credibility; quality focus; unquestionable integrity; stress tolerance; ﬂexibility; and organising and prioritising skills A valid driver s licence and own transport NOTE: The successful candidate should be prepared to work after hours for urgent advice FOR BOTH POSITIONS: Enquiries: Mrs. N Xaba (033) 3452714 during ofﬁce hours.
