KEY PERFORMANCE AREAS Provide strategic advisory services in relation to secretarial services to the Board and Executive Management Identify assess and inform the EXCO term of internal and external Drafting and implementation of financial/treasury agreements with Banks National Treasury Government and Johannesburg Stock Exchange Liaise with all relevant stakeholders in the social development sector regarding applicable legislative framework Formulate legal strategies to enable business to meet its growth strategy corporate governance issues the affect the organisation Foster effective teamwork amongst the staff in the Governance and Compliance Ensure that the operation of the Governance and Compliance meets the expectations of its clients both internal and external Draft and ensure implementation of Governance and Compliance policies and procedures; review existing policies on an annual basis and recommend changes as appropriate Analysing and advising on legal risks of new business ventures and preparing legal strategies to realise business ventures within application legal framework Evaluating impact of legal and statutory regulations on the organisation s business from a legal strategic point of view Directing management and conducting research on various legal matters involving diverse provisions of the law and furnishing legal opinions Communicate and monitor the implementation of decisions taken by the Board Provide monthly reports on the revenues and expenditure of the department Compile and manage budgets for existing and prospective donors for programmes and projects funded by the company Oversee and manage the improvement of operational controls as reported on by Internal Audit Resolve audit queries and complete risk management reports as appropriate Continuously monitor compliance with statutory obligations and advice management accordingly Review contracts or any other legal documents where the organisation has committed itself and assess legal implications that need to be brought to the Executive Management s attention Negotiate review and draft documents for business transactions and prepare advice on the necessary checklist to be adopted to ensure information is submitted on time Ensure compliance with established procurement policies and procedures as well other standard operating procedures within the company OPERATIONAL PLANNING AND MANAGEMENT Develop and implement operational plans for the Governance and Compliance and ensure that unit goals and objectives work towards the strategic direction of the organisation Oversee the efficient and effective day-to-day operation of the Governance and Compliance Perform the following functions: Coordinate the production of the company s Annual Report Monitor all legislative regulatory and corporate governance developments that might affect the company s operations and ensure that the Board is fully briefed on these Oversee the development of a format to be used organisation-wide for writing minutes Develop and monitor corporate governance compliance checklist for the company Ensure the company compliance with all statutory and regulatory requirements Compile update and manage comprehensive policy register Develop and distribute Delegations of Authority providing advice regarding its content Ensure the publication and maintenance of standard protocol document for Board management and related processes Manage Portfolio Committee matters Develop and ensure maintenance of the Board s and Board Committee s charters and terms of reference Ensure the smooth running of the Board s and Board Committees activities including the following: co-ordination of meetings assisting the CEO with the preparation of agendas papers and reports attending meetings and ensuring minutes are written ensuring follow-up on outstanding matters; advising on Board procedures and ensuring that the Board follows them Provide support and advice on all matters required by the Board Monitor that proper procedures are followed during the appointment of Board members by the Ministers Develop and implement a Board and Board Committee induction training programme and manage the induction of new Board members into the organisation Establish training requirements for new Board appointees and implement appropriate orientation and training for the Board as required Oversee the payment schedule for HR Ensure communication of Board decisions and monitor progress in so far as reporting to staff and management Co-ordinate Annual performance evaluation of the CEO and annual evaluation of Board and Board Committee members LEGAL AND RISKS Review and provide legal advice on all Banking and Finance Law financial agreements medical aid and aid and pension fund contracts and related matters advices and opinions on water sector legislation and regulations: Financial /Treasury agreements Legal Strategy formulation to enable growth programmes/projects Medical Aid and Pension Fund Act compliance Advice and opinion on tendering for strategic growth projects etc. Quality Management Proper risks analysis and identification of triggering factors towards potential legal risks within business units Legal protection and risk management plans based on strategic and executive decision making patterns and trends at Board level in fulfilment of the overall growth strategy Maintain an institutional repository of all written legal advice and opinions in relation to the interpretation of legal documents and generate information sharing articles for ensuring increased level of awareness on specific requirements Candidate Requirements MINIMUM QUALIFICATION B-degree in Law or Financial Field (NQF 7) with a good understanding of the other discipline. CIS qualification would be advantageous. Admitted attorney with specialisation in Labour and Company Law. ESSENTIAL EXPERIENCE 8 years relevant experience of which at least 5 years must have been in a Company Secretarial role. Extensive experience in strategic planning and execution. Experience in examining and re-engineering operations and procedures formulating policy and developing and implementing new strategies and procedures. Extensive experience in strategic planning and execution. Proven track record of providing accurate and effective legal advice. Knowledge of Contract Management Systems. Proven track record in contract negotiation and drafting. Risk Management experience. KNOWLEDEGE Knowledge of legal and regulatory requirement affecting the company Corporate Governance principles such as King reports. General knowledge of company secretarial duties and responsibilities. Familiarity with system/process documentation and business processes. Financial and risk management. Research and analysis. Knowledge of relevant legal and statutory requirements SKILLS & ABILITIES External awareness. Negotiation skills Influential.
